The laws of the State of Colorado will govern any disputes of any kind arising out of this Agreement or your use of the Web site, without regard to Colorado’s conflict of laws principles. You agree to submit to personal jurisdiction and exclusive venue in the state and federal courts located in the State of Colorado. You agree that if any part of this Agreement is found to be illegal, invalid, or unenforceable, that provision will be stricken and remainder of the Agreement will remain in full force and effect. The failure of CM Select to enforce any provision hereof shall not constitute or be construed as a waiver of such provision or of the right to enforce it or any other provision at a later time. You may not assign your rights or delegate your duties under this Agreement without the prior written consent of CM Select. CM Select may assign its rights and obligations under this Agreement to any party at any time, without notice to you. Except as expressly provided elsewhere on the Web site, this Agreement constitutes the entire agreement between you and CM Select with respect to your use of the Web site.
